Research on the Importance of Offer in Iranian Civil Law and the UNIDROIT Principles

Abstract
 
Offer is the first effective will in concluding a contract, which is announced by the offer or. offer restriction, unlike other legal acts, is imposed by itself and the addressee of offer must declare his acceptance according to the provisions of offer. It should be noted that the issue of imperative is not mentioned independently by the Iranian civil law, and as a result, jurists have established principles for obligatory by interpretive and comparative study of the articles of the civil law of Iran and other countries. This is while the UNIDROIT principle of international commercial contract in some articles have set rules for the requirement and in the explanations of each article, by mentioning an example and expanding the text of the article, the rules of requirement have been explained. One of the common features of both laws is the protection of the rights of the addressee against the cause.
