In the trading custom of the present era, software transactions can be implemented through a set of methods or templates. Sometimes they are transferred by a hardware or a tangible media (e.g. Disks, CDs) and sometimes transactions are online or in-app. Furthermore, it is possible that software is made and produced by an order and then transferred to the customer. These transactions according to the Article (1) and (100) of the convention have been a matter of controversy among the commentators; because in different legal systems, it is not clear that they are considered as contracts for sale or goods and despite stipulation of Article (3) there are still many disputes regarding the definition and the limits of these transactions in the context of the convention. This is a descriptive-analytical research to solve this issue and has concluded that it is necessary to hang on to an interpretation which complies with the international character of the convention and the general principles of it (Art.7). It is presented in the conclusion that it is required not to abrogate the unique legal system of international trade in the light of this convention, just to expand its scope; and the exclusion of some kinds of software transactions from the scope of the convention is more suitable if it is to keep the international character and the purpose of the convention.        }, keywords = {CISG,Software,Contract of sale,licensing,Shrink-wrap licenses,Click-on licenses}, title_fa = {قابلیت اعمال کنوانسیون بیع بین‌المللی کالا بر معاملات نرم‌افزاری}, abstract_fa = {یکی از موضوعاتی که همواره در میان مفسران کنوانسیون بیع بین‌المللی محل بحث و نزاع بوده است، معاملات با موضوع نرم افزار است. نرم افزارها در عرف معاملاتی عصر حاضر در چند قالب و شیوه ممکن است موضوع معامله و نقل و انتقال قرار گیرند. گاه نرم افزار به صورت فیزیکی و با ابزار ملموس (روی دیسک یا سی دی) و گاه به صورت آنلاین و درون برنامه‌ای مورد انتقال حقوقی قرار می‌گیرد. گذشته از این موارد ممکن است نرم افزاری طی سفارشی، ساخت و تولید شود و سپس به سفارش دهنده منتقل گردد. این‌گونه معاملات با حفظ شرایط اعمال کنوانسیون، مانند مواد (1) و (100) کنوانسیون، از این جهت مورد اختلاف مفسران قرار گرفته‌اند که اساساً چنین معاملاتی از حیث بیع بودن و کالا بودن در نظام‌های مختلف حقوقی چالش برانگیز بوده و در مورد اخیر این‌گونه معاملات که همان سفارش ساخت نرم افزار است، علیرغم تصریح ماده (3) کنوانسیون، در حدود و ثغور تفسیری این‌گونه معاملات اختلافات عمده‌ای مطرح است. این تحقیق با شیوه توصیفی و تحلیلی در پاسخ به این مسئله برآمده و به این نتیجه رسیده است که برای رفع چنین مشکلاتی که ممکن است با اهداف کنوانسیون در تعارض باشد، باید متمسک به تفسیری شد که مطابق با خصیصه بین‌المللی و اصول کلی کنوانسیون (ماده 7) باشد. نتایج به عمل آمده در این تحقیق نشان می‌دهد که نباید وحدت نظام حقوقی حاکم بر تجارت بین‌الملل در پرتو کنوانسیون را فدای فزونی مصادیق تحت پوشش این کنوانسیون نمود و حفظ خصیصه بین‌المللی و هدف کنوانسیون، با عدم شمول برخی از مصادیق معاملات نرم افزاری تحت پوشش کنوانسیون سازگارتر است.}, keywords_fa = {کنوانسیون بیع بین المللی,نرم‌افزار,قرارداد فروش,اعطای مجوز,مجوزهای بسته بندی,مجوزهای کلیکی}, url = {https://www.pzhfars.ir/article_111270.html}, eprint = {https://www.pzhfars.ir/article_111270_887fb3b7a72812c9b0ac5182811a0863.pdf} }
